Under the direction of the General Counsel, the Legal Counsel (Corporate) is responsible for a broad range of legal services and regulatory matters.
Roles and responsibilities
Responsibilities include (but are not limited to):
SEC and Nasdaq Compliance
- Assist with annual stockholder meeting process
- Assist with the preparation and review of Annual Report and Quarterly and Periodic Filings, supplemental information and investor presentations
- Review internal reports, presentations and other materials for securities law compliance
- Oversee securities law compliance relating to trading in Company securities and legal aspects of the Company’s stock incentive plans
- Help ensure ongoing compliance with Nasdaq listing requirements
Securities and Capital Markets
- Prepare and review registration statements and related filings and review related agreements
- Research securities-related issues
Transactions
- Service and consult on agreements
- Manage transactions and related corporate matters
- Provide support, as appropriate, in connection with potential acquisitions and dispositions, primarily with due diligence reviews
Corporate Governance
- Assist with preparation for Board of Directors and committee meetings, including supporting materials and preparation or review of minutes
- Collaborate in maintaining and updating corporate compliance documents and policies, including Code of Ethics, Committee Charters, Insider Trading Policy and Sarbanes-Oxley requirements
General Matters
- Engage with outside counsel and other vendors
- Draft, review and negotiate commercial contracts
- Remain current on corporate research and advise, when necessary
- Build and maintain collaborative relationships with various departments throughout the organisation
- Handle other matters as assigned by the General Counsel
- Handle general shareholder corporate actions and questions eg share transfers, register updates etc and be main point of contact for the company secretary and company registrar
Profile
- B.A. or B.S. from a 4-year college or university
- J.D. from accredited law school
- State Bar Admission/Membership in good standing
- Minimum of 3-5 years relevant experience, including at an Am Law 100 law firm, with a focus on securities/SEC/governance matters, and experience supporting public companies and Boards of Directors
- Relevant experience in corporate, regulatory compliance and/or related fields; knowledge of applicable statutes, laws, regulations, and industry standards are required
- Experience and knowledge of English company law preferred
- Experience with pharmaceutical, biotech, medical device, and/or diagnostics industries preferred
- Experience drafting corporate agreements and policies
- Possess excellent interpersonal, verbal and written communication, analytical, and proofreading skills
- Ability to work collaboratively with a global team and build relationships with others, including internal colleagues, outside counsel, and third parties
- Ability to analyze and solve problems in an efficient manner
- Ability to think strategically about achieving corporate objectives by addressing the needs of internal and external stakeholders
- Self-starter who is proactive and can work independently
- Demonstrated track record of achieving legal department / corporate objectives
- Ability to work well under pressure in a fast-paced, dynamic environment and handle multiple tasks while maintaining confidentiality
- Excellent organizational and project management skills; professional demeanor; unquestioned integrity, credibility, judgment; curious; enthusiastic; strong emotional intelligence
