Role Overview
We are currently looking for an experienced General Counsel, based out of our head office location in Toronto, Canada, to help execute our strategic growth plan. Working with and influencing both external and internal stakeholders, this role will be at the forefront of fast-evolving legal issues relating to intellectual property, corporate governance, real estate and employment.
The successful candidate must be business-minded attorney, enthusiastic about health science and drug discovery, enjoy working hard and being continually challenged, can operate autonomously and demonstrate sound judgment even in ambiguous situations.
What You'll Do
- Serve as a strategic thought partner and legal advisor to management on business strategy, commercial transactions, intellectual property, and operations
- Review, analyze and draft a variety of legal documents, including contracts, corporate secretarial documents, real estate leases, and litigation filings
- Serve as Corporate Secretary to the Board of Directors, assist with preparation of Board materials, charters, minutes and other required matters
- Continuously review and manage relationship with external counsel
- Draft, negotiate and review corporate transactions documents, including IP filings, equity financings, strategic partnerships, and vendor relationships
What you Bring to the Team
- Strong academic credentials including a J.D. degree from a top law school
- Membership in one state or provincial bar
- Minimum 4 years of legal experience at a top law firm or in-house legal dept.
- Background in health care and/or drug development an asset
- Knowledge of equity-based compensations structures and systems
- Excellent communication and analytical skills
- Be a problem solver not someone who just flags issues of concern
